German Freight Forwarders’ Standard Terms and Conditions

We work exclusively on the basis of the basis of the German Freight Forwarders’ Standard Terms and Conditions 2017 (ADSp 2017) . Please note that the ADSp 2017 contain liability provisions that deviate from the respective statutory standard provisions. We particularly refer to clauses 22–25 ADSp 2017. Pursuant to clause 23 of ADSp 2017, liability for loss and damage of goods, which is limited under Section 431 of the German Commercial Code (HGB) to 8,33 Special Drawing Right per kilogram (SDR/kg), is further limited to the higher of Euro 1 Million and 2 SDR/kg per claim provided that all claims per event are limited to the higher of Euro 2 Million and 2 SDR/kg; and where multi-modal transport with sea carriage is involved to 2 SDR/kg.

To close the gaps resulting from the ADSp 2017 and to eliminate possible ambiguities, the following is agreed:

Supplement to Clause 11.2 ADSp 2017:

In the absence of any agreement, the loading or unloading time for road vehicles, regardless of the number of consignments per loading or unloading point, shall be as follows:

1. For goods loaded on pallets of any kind:
a. up to ten Euro pallet spaces: maximum 30 minutes,
b. up to twenty Euro pallet spaces: maximum 60 minutes,
c. more than twenty Euro pallet spaces: maximum 90 minutes;


2. In all other cases for goods (excluding bulk goods) with a transshipment weight of
a. up to three tons: maximum 30 minutes,
b. up to seven tons: maximum 60 minutes,
c. more than seven tons: maximum 120 minutes.

As demurrage within the meaning of § 412 (3) HGB, a fee of EUR 50.00 per commenced 30 minutes is agreed.

Clarification of Clause 19 ADSp 2017:

It is clarified that set-off or retention against claims arising from the transport contract and related non-contractual claims is only permissible if the due counterclaim is undisputed, ready for decision, or has been legally established.

Supplement to Clause 30 ADSp 2017:

The exclusive place of jurisdiction pursuant to Clause 30.3 sentence 1 ADSp 2017 is Darmstadt. Clause 30.3 sentence 2 ADSp 2017 remains unaffected. The Regional Court, Commercial Chamber, shall have functional jurisdiction irrespective of the amount in dispute.

Insurance

We have taken out SLVS-Plus forwarding insurance with Oskar Schunck KG. Our receivables are insured with EULER-HERMES Kreditversicherungs AG. Upon expiry of the payment deadline, the receivable(s) shall be assigned to the debt collection company EULER-HERMES Forderungsmanagement GmbH by way of an independent dunning procedure.
